Registered Office of a Company is basically the main office of the company wherein all the Governmental Departments send the legal documents and notices to and hence it is important to declare your Registered office at the time of your company's incorporation itself. This office needs to be registered with MCA or Ministry Of Corporate Affairs. If registered office is not declared at the time of company's incorporation, then a temporary address will be required and further it is mandatory to declare your Registered office by filing INC-22 and also producing required documents within fifteen days of company's incorporation. A verification is then followed by the Registrar of the Companies (ROC). The Same procedure is followed by LLP. However, if it so happens that a company decides to change the Registered office, a certain procedure is followed and this procedure is laid by MCA itself. The same is mentioned below.

Some steps in changing registered office are

  • For changing the Registered Office within local limits of the same city INC-22 has to be filed in such a case within Fifteen days of the change.
  • For changing the Registered Office outside the local limits but within the same state, town or village Form MGT-14 and INC-22 are to be filed with ROC( Registrar Of Companies). Also 'Notice of General Meeting' and 'True copy of Special Resolution that has been passed in General meeting and is certified along with Explanation (Explanatory Statement)' is required.
  • For changing Registered office from one state to another state Form MGT-14, Form INC-22 and Form INC-28 needs to be filed along with an application to be filed with Central Government, that is done by filing Form INC-23. Also 'Notice of General Meeting' and 'True copy of Special Resolution that has been passed in General meeting and is certified along with Explanation (Explanatory Statement)' is required.
  • For changing Registered office from jurisdiction of one ROC to another same procedure is followed as when changing registered office from one state to another along with prior approval of Regional Director. However, a month before filing an application with the Regional Director a notice should be published in one English Paper and also in Local Language paper of where the company is situated.
