LLP Registration Procedure in India

Registration Procedure

The Ministry of Corporate Affairs (MCA) administers the LLP registration through the Office of the Registrar of Companies. The incorporation process is online similar to the company registration process. Applications and documents are filed electronically and the Registrar issues a digitally-signed Certificate of Incorporation (COI).

The key steps involved in registration involve obtaining DIN & DSC, name registration, filing Memorandum of Association (MOA)& Articles of Association (AOA) and getting the PAN.
LLP Registration Process can be divided into 3 stages:

Stage-I: Pre-Requisites

It is basic and important for a strong foundation of LLP. It is similar to sowing the seed. It involves:
  1. Identifying Partners as well as designated partners
  2. Determining the capital contribution profit sharing ratio by partners
  3. Setting Objects of the LLP
  4. Deciding proposed Names of the LLP
  5. Deciding the State in which the LLP is to be registered.

Stage-II: Documentation and Registration

It is important for establishing LLP. It requires several documents to register LLP. It is like giving water to the seed sown. It involves:
  1. Obtaining Digital Signature Certificate (DSC) for Designated Partners
  2. Obtaining Director Identification Number (DIN) for Directors.
  3. Applying for LLP Name
  4. Receiving for  Letters of Consent from each Partner and Designated Partner
  5. Executing LLP Registration (after name approval)
  6. Submitting of LLP Registration Documents to the Registrar of Companies (ROC)
  7. Registration and Certificate of Incorporation

Stage-III: LLP Agreement

It is important for the smooth functioning and cordial relation between partners. It includes:
  1. Drafting and Execution of LLP Agreement by partners. LLP agreement is complex therefore it is advisable to take professional/expert help.
  2. Filing of LLP Agreement within 30 days of registering the LLP to the Registrar.
